You are welcome to use the advertising platform and professional services provided by NovaGlobe Media. These Terms of Service (“Terms”) are a legally binding agreement between you and NovaGlobe Media concerning the use of the advertising technology platform, data analysis tools, content creative services and related support provided by the Company.
Please be sure to read and understand the terms before using any services. Once you register, visit or use this platform, you are deemed to have read, understood and agreed to be bound by all terms of this agreement. If you do not agree with any content of these Terms, please do not use this platform and its services.
1.1 Scope of application of the Terms
This Terms applies to all users of NovaGlobe Media services, including but not limited to advertisers, regional partners, content agents, registered users and platform visitors (hereinafter referred to as “Users” or “You”).
1.2 Update and modification of the Terms
NovaGlobe Media reserves the right to update, modify, or replace these Terms at any time without prior notice. The updated terms will take effect immediately upon publication on the Platform. You are advised to review these Terms regularly for the latest version. If you continue to use the Service after the terms have been updated, you agree to all changes.
1.3 Service definition description
In order to ensure that the terms are clearly expressed, the following terms are defined in these Terms:
“Platform” means the advertising delivery system, customer management tools, data analysis services and all related technology platforms provided by NovaGlobe Media.
“Customer” means a legal person or natural person registered on the Platform and in cooperation with NovaGlobe Media for advertising, content delivery or data services.
“Content” means all advertising copy, images, videos, links, code or any related data material uploaded, published, distributed and displayed.
“Services” means all advertising, content creation, media buying, data analysis and follow-up support services provided by NovaGlobe Media.
1.4 Description of governing law
All matters covered by this clause are governed by the laws of England and Wales, which apply to all liability definitions and dispute resolution mechanisms under the laws of that area.

NovaGlobe Media is dedicated to providing clients with highly integrated, quantifiable, and customizable advertising media services. We leverage our proprietary technology platform and professional execution team to build effective audience engagement communication systems for various types of clients. The second section of this clause will detail the service types, usage restrictions, and technical conditions we offer to users.
2.1 Service type
NovaGlobe Media provides the following services:
Advertising services: Programmatic advertising through the NovaGlobe Media platform, including display advertising, social media advertising, search advertising, video advertising, etc.
Content creativity and strategy consulting: Provide advertising material design, communication strategy planning and media mix suggestions according to the brand positioning of customers.
Multi-platform integrated marketing: Supports customers to deliver a unified brand across multiple digital channels, including Google, Meta, YouTube, TikTok and regional portal sites.
Data analysis and effect optimization: Use advanced data modeling and monitoring tools to track performance in real time, provide ROI optimization suggestions and automate budget allocation.
Customer support service: account management, material review, platform training and problem answering and other daily operation support
2.2 Service usage restrictions
By accepting the services of this Platform, you understand and agree to the following restrictions:
All services are limited to legal use purposes and shall not be used for illegal, defamation, fraud, imitation and other acts.
Some services may not be available or vary due to regional restrictions, cooperation agreements or technical conditions.
The customer shall submit the advertising materials in accordance with the specifications provided by the platform and cooperate with the platform’s audit process.
2.3 Scope of technical and platform support
NovaGlobe Media is committed to maintaining the technical sophistication and availability of its services, but you should understand the following technical conditions:
The advertising system is data-centered and needs to be operated through the platform interface or console;
The effect of advertising display is affected by a variety of factors (such as market environment, user behavior, budget input, etc.), and the platform does not make a commitment to specific results;
Some platform functions may be adjusted due to technical upgrades or changes in third-party interfaces.
2.4 Service change and interruption description
NovaGlobe Media has the right to make temporary or long-term adjustments to the content of the Platform services when necessary, including adding new functions, terminating modules, suspending services, etc. We will inform you as early as possible through platform announcements, notification center or user interface prompts, but we shall not be liable for any losses caused thereby.

The advertising services, content creation, data support and other functions provided by NovaGlobe Media are uniformly delivered based on the platform system and professional team. Customers should follow the basic operation procedures and content specifications in the process of using the services to ensure the effectiveness and compliance of advertising placement.
3.1 Service access and execution process
After signing the cooperation agreement or launching plan, customers can obtain the launch support, strategy planning and technical services provided by the platform;
All advertising activities should submit materials, set delivery parameters and accept compliance review according to the process provided by the platform;
The platform has content management, data synchronization and effect feedback mechanism for the execution process of customers, and customers should cooperate as required.
3.2 Customer responsibility
Customers should ensure the following when using NovaGlobe Media services:
Provide true and accurate business information and advertising materials;
Do not violate the platform use specifications or service scope;
Cooperate with the platform to conduct content compliance review, effect tracking and material iteration;
Keep good communication with customer success managers to ensure smooth execution of the launch process.
3.3 Investment norms and prohibited behaviors
The Platform prohibits the following behaviors, and the Platform has the right to suspend services or terminate cooperation if the customer violates them:
Publishing content that conflicts with local laws and regulations (including illegal finance, false information, infringing materials, etc.);
Operate and interfere with the system process, such as repeated brushing, malicious clicking, data forgery, etc.;
Unauthorized use of other people’s accounts, brands, platform interfaces and other resources.
3.4 Scope of Platform Assistance and Support
NovaGlobe Media will provide the following support services to customers:
Daily deployment management and technical configuration guidance;
Results reporting and data visualization;
Content review feedback and material optimization suggestions;
Compliance reminders and industry policy updates.

In order to ensure the quality and compliance of the platform’s dissemination, NovaGlobe Media requires that all customers must submit content that is legal, true, original and in line with public moral standards when using advertising services. This part of the terms clearly defines the rights and obligations of customers in the creation, uploading and delivery of advertising content, and defines the platform’s right of review and intervention.
4.1 Customer Content Ownership
The advertising content (including but not limited to pictures, videos, copywriting, links, brand logos, creative ideas, etc.) uploaded, submitted and used by the Customer on the Platform shall be owned by the Customer or have legal authorization to use all intellectual property rights.
If a third party claims for content ownership, infringement or copyright issues, the Customer shall be solely responsible for all losses, direct or indirect, caused to NovaGlobe Media.
4.2 Content legality and compliance
The Customer shall ensure that all advertising content complies with laws, regulations and industry norms in the target market, including but not limited to:
No false statements, misleading publicity or exaggerated promises shall be included;
No gambling, pornography, violence, discrimination, hatred, illegal finance or other undesirable information;
No violation of advertising standards regulations (such as the UK CAP Code, EU advertising regulations, etc.);
Do not use materials that infringe on the intellectual property rights, trademark rights, privacy or reputation of others.
4.3 Platform audit rights and content processing
NovaGlobe Media reserves the right to review, remove, block or refuse to publish all advertising content uploaded to the Platform, especially in the event of the following:
There is a clear risk of violation or illegal;
Receive notification from the regulatory agency or the right holder;
The complaint is conclusive and affects the reputation of the platform or other customer rights.
The above actions shall not affect the customer’s payment obligations, and the customer shall be fully responsible for any losses caused by violations.
4.4 Material submission and format specification
The materials submitted by the customer shall comply with the technical specifications provided by the platform, including but not limited to format, size, resolution, volume limit, loading speed and other technical standards. The Platform has the right to reject the materials that do not meet the requirements and require re-submission.
4.5 Responsibility for third-party content and links
If the advertisement contains jump links, partner content and third-party embedded elements, the customer shall ensure its legality and security. The Platform shall not assume any control or legal responsibility for the external content, and the user shall judge and bear the risks of all behaviors after clicking the jump.

In order to ensure the stability of the platform operation and the sustainability of the service, all advertising services, technical support and content production provided by NovaGlobe Media to customers are based on a charging model. This clause page will clarify the fee structure, billing method, payment obligations and breach handling mechanism.
5.1 Cost composition
NovaGlobe Media’s service fees are made up of the following categories:
Basic advertising cost: applicable to the billing of regular display, exposure and click behaviors, and shall be settled according to the advertising display volume (CPM), click volume (CPC) or other agreed methods;
Optimization of additional fees: If the customer enables advanced functions such as effect optimization, dynamic adjustment and redirection, the optimization service fee will be charged in proportion to the actual results;
